1. Agreement & Acceptance
By accessing and using OwnDrive, you agree to be bound by these Terms of Service. If you do not accept these terms, do not use the service. These terms constitute a legally binding agreement between you and Dexcy Technologies.
2. Definitions
For clarity, the following terms are defined as:
- check"Service" — The OwnDrive platform, including the web interface, APIs, mobile applications, and all associated features.
- check"User" or "You" — Any individual or organization that creates and maintains an OwnDrive account.
- check"Content" — All files, documents, images, and data you upload or store within the Service.
- check"Subscription" — A paid plan activating advanced features and increased storage.
3. Account Registration
When creating an account, you agree to:
- checkProvide accurate, complete, and current information.
- checkMaintain the confidentiality of your password.
- checkBe responsible for all activity under your account.
- checkNotify support@dexcy.in immediately of unauthorized access.
4. Acceptable Use
You agree not to:
- checkUpload illegal, harmful, infringing, or malicious content.
- checkTransmit malware, viruses, worms, or phishing attempts.
- checkCircumvent storage quotas or attempt to exceed plan limits.
- checkReverse-engineer, decompile, or attempt to access the OwnDrive source code.
- checkResell access to the Service without written permission from Dexcy Technologies.
5. Subscription & Billing
Subscription terms and conditions:
- checkBilled monthly or annually in Indian Rupees (INR).
- checkAll fees include applicable Goods and Services Tax (GST).
- checkFees are non-refundable except where required by law.
- checkLate payments accrue interest at 18% per annum.
6. Free Plan
The Free plan is available subject to quotas listed on the Pricing page. Dexcy Technologies may modify free quotas with 30 days' notice via email. Free accounts may be suspended for inactivity exceeding 180 days.
7. Data Ownership & Licence
You retain full ownership of your Content. By uploading Content to OwnDrive, you grant us a limited, non-exclusive, royalty-free licence to:
- checkHost, store, and transmit your Content solely to provide the Service.
- checkCreate encrypted backups for redundancy and disaster recovery.
- checkAnalyze metadata (file names, sizes, timestamps) for service improvement.
We may not use your Content for any other purpose without explicit written consent.
8. Intellectual Property
All OwnDrive platform design, code, trademarks, logos, and materials are exclusive property of Dexcy Technologies. Nothing in these terms grants you ownership, licence, or rights to any intellectual property of OwnDrive except the limited, non-transferable right to use the Service in accordance with these terms.
9. Confidentiality
Both parties agree to maintain confidentiality of non-public information shared during our relationship. Disclosure is permitted only with prior written consent or as required by law. This obligation survives termination for two years.
10. Service Availability
We commit to 99.9% monthly uptime for paid plan users. Scheduled maintenance will be announced 48 hours in advance. We are not liable for:
- checkUnscheduled downtime due to force majeure events.
- checkEmergency maintenance required for security incidents.
- checkThird-party infrastructure failures beyond our control.
11. Termination
Termination of service may occur as follows:
- checkBy You: Anytime from your Account Settings without penalty.
- checkBy Us: For breach of terms, non-payment, legal order, or abuse.
- checkData Retention: Your Content is retained 90 days post-termination, then permanently deleted.
12. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
Our aggregate liability shall not exceed fees you paid in the preceding 3 months. We are not liable for indirect, incidental, consequential, special, or punitive damages arising from your use of the Service.
14. Force Majeure
Neither party is liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, or government action.
15. Governing Law & Dispute Resolution
These terms are governed by the laws of India. Any disputes shall be resolved as follows:
checkMediation: First, good-faith negotiation between parties.
checkArbitration: If mediation fails, binding arbitration under the Arbitration and Conciliation Act, 1996, seated in Cuttack, Odisha, with one arbitrator.
checkLanguage: All proceedings conducted in English.
